Corporations
A corporation is a business
entity which is formed by one or more people to conduct business
under a corporate name. The corporation is chartered by the state
and shares of stock are issued to the owners of the business. The
corporation must obtain a separate tax identification number from
The Internal Revenue Service (IRS) because it is a separate being
from the owners. For this reason the debts and liabilities of the
corporation usually do not obligate the owners individually.
Partnerships
A partnership is a joint venture involving two or more individuals who wish to conduct a business together. The rights and obligations of the partners are determined by a legal written agreement between them. The partnership may operate its business under a partnership name which must be registered.
Limited Liability Company
A limited liability company is similar to a partnership. However
this form of ownership protects the individual owners from the debts and liabilities of the company
similar to the corporate form of ownership.
Sole
Proprietor
A sole
proprietor is one individual conducting business
on his or her own. A sole proprietor assumes all of the risks and liabilities
of the business. However, he or she can operate the business under
a separate name if it is registered as a "fictitious name".
